Terms of Service

1. Agreement to Terms

By accessing or using CleanTextLab ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

CleanTextLab provides browser-based text manipulation tools, including but not limited to:

• Text cleaning, formatting, and transformation tools
• Number and data conversion utilities
• Batch processing and file upload capabilities (Pro)
• API access for programmatic tool usage (Pro)
• Priority customer support (Pro)

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. Account Registration

To access certain features (Pro subscription, tool history, API access), you must create an account:

• You must be at least 13 years old to create an account.
• You must provide accurate and complete information.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Transmit viruses, malware, or other malicious code.
• Scrape, crawl, or reverse-engineer the Service.
• Use the Service to spam, harass, or abuse others.
• Circumvent rate limits or usage restrictions.
• Share your Pro account credentials with others.
• Use the API for commercial purposes without a commercial license.
• Process or transmit illegal content (child abuse material, stolen data, etc.).

Violation of this policy may result in immediate account termination without refund.

5. Pro Subscription

5.1 Pricing and Payment

• Launch Pricing: $5/month or $49/year for the first 500 users (locked in forever).
• Standard Pricing: $9/month or $89/year after launch period ends (February 8, 2025).
• Payment is processed via Stripe. We do not store your payment information.
• All fees are in USD and non-refundable except as required by law.

5.2 Billing and Renewals

• Subscriptions automatically renew at the end of each billing period.
• You will be charged on the renewal date unless you cancel before then.
• Plan upgrades (e.g., Monthly to Annual) are charged immediately and reset your billing cycle anchor to the date of upgrade.
• You can cancel anytime via your account settings.
• Cancellation takes effect at the end of the current billing period.
• No pro-rated refunds for mid-period cancellations.

5.3 Grandfathering

Users who subscribe during the launch period will be grandfathered at the $5/month or $49/year rate, even after standard pricing takes effect. If you cancel and re-subscribe later, you will be charged the then-current standard rate.

5.4 Free Tier

Free tier users receive limited access to tools (100 lines per batch, 10 history entries per tool, no file upload). We may change free tier limits at any time.

6. Intellectual Property

6.1 Our Rights

CleanTextLab, including all code, design, trademarks, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 Your Content

You retain all rights to the text and data you process using our tools. We do not claim ownership of your content. However, by using opt-in sharing features ("Share Link", "Email Results"), you grant us a limited license to store and transmit your content for the purpose of providing those features.

6.3 Cloud History Sync

If you enable Cloud History Sync (optional feature for registered users):

• Client-Side Encryption: Your history is encrypted in your browser before upload. We store only encrypted blobs and cannot decrypt your data.
• Encryption Architecture: Your encryption key is derived from your account credentials and never transmitted to our servers.
• Automatic Deletion: Cloud history is automatically deleted after 30 days (Free users) or 90 days (Pro users).
• Storage Limits: Free users: 25 entries per tool. Pro users: 100 entries per tool.
• Prohibited Content: You must NOT upload passwords, API keys, Social Security Numbers, credit card numbers, protected health information, or other sensitive data via Cloud History Sync.
• Your Responsibility: You are solely responsible for the content you choose to sync to the cloud, even though it is encrypted.
• Data Breach Protection: In the event of a security breach, your encrypted history cannot be decrypted by unauthorized parties without access to both your account credentials and our encryption infrastructure.
• Right to Deletion: You can delete your cloud history at any time from Settings. Deletion is immediate and permanent.

7. Disclaimers and Limitation of Liability

7.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (OR $100 IF YOU HAVE NOT PAID US).

7.3 Data Accuracy

While we strive for accuracy, we do not guarantee that tool outputs are error-free or suitable for your specific use case. You are responsible for verifying all outputs before using them in critical applications.

8. Indemnification

You agree to indemnify and hold harmless CleanTextLab, its affiliates, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit via the Service

9. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us. Upon termination:

• Your access to Pro features will immediately cease.
• Your account data will be deleted after 30 days.
• No refunds will be provided for prepaid periods.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

10.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive your right to a jury trial or class action lawsuit.

11. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and CleanTextLab.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
